| Letter of advice to a director of a company in financial difficulties A precedent letter of advice from a solicitor to a director of a company in financial difficulties. The letter sets out the director's duties and the potential grounds on which he could face personal civil and criminal liability, under the Insolvency Act 1986, the Financial Services and Markets Act 2000, the Disclosure and Transparency Rules of the London Stock Exchange and the Alternative Investment Market (AIM) Rules. The provisions have been drafted from the administrators' perspective and assume that the Transfer of Undertakings (Protection of Employment) Regulations 2006 apply to the sale.
