| Intra-group licence of intellectual property rights A specimen licence of intellectual property (IP) rights. The licence, often referred to as an inter-company IP licence, is most likely to be used in the context of a group reorganisation. |
| Joint Defense and Confidentiality Agreement An agreement that allows parties with similar legal interests, who are involved in an investigation or legal proceeding, to share information with each other without waiving the attorney-client privilege, work product protection or other applicable privilege or protection. This agreement may also protect against the disqualification of one party's counsel as a result of sharing confidential information with the other parties to the agreement. | Confidentiality agreement: international joint ventures A standard form of confidentiality agreement (also known as a non-disclosure agreement) for a joint venture, where both parties are disclosing information about businesses to be contributed to the joint venture. This document is in the form of an agreement rather than a letter. It has been adapted from PLC's UK version to provide a plain English, jurisdiction-neutral starting point for local counsel to adapt for use in cross-border transactions. Agreements of this type have various titles, which may use the term "non-disclosure" in place of "confidentiality," or "intellectual property" in place of "proprietary rights." | Luxury goods licence An agreement for use in the luxury goods arena, drafted in favour of the licensor, and granting the licensee the right to use trade marks, designs and confidential information for the manufacture and sale of luxury goods bearing the licensor's brand. | Character merchandising licence A specimen merchandising licence, drafted primarily from the point of view of the licensor, for use where the owner of rights in a fictional character or characters is granting the right for an image of that character or characters, and related artwork and trade marks, to be reproduced on merchandise. |

| Intellectual Property Assignment Agreement (Short-form) This is a standard short-form intellectual property (IP) assignment agreement for use as an ancillary agreement to a principal asset purchase agreement. This IP assignment agreement can be attached as an exhibit to the prinicpal asset purchase agreement and recorded with the US Patent and Trademark Office (USPTO) and US Copyright Office against scheduled IP applications and registrations. | Publicity Waiver and Release A waiver of privacy and publicity rights, and release of corresponding legal claims. It assumes that the waiver and release is being given by a member of the general public in connection with a company's public or commercial use of the individual's name, likeness or other personal characteristics or private information. It must be tailored to the particular circumstances in which the company is obtaining the waiver and release. This Standard Document has integrated notes with important explanations and drafting tips. |
